Privacy Policy

1. Introduction

LexProbe LLC ("LexProbe", "Company", "we", "us", or "our") respects privacy and recognizes the importance of lawful and responsible information management in connection with the AgoraFord platform, related software products, websites, reseller implementations, integrations, support services, and associated operational activities.

This Privacy Policy explains how information may be collected, processed, stored, disclosed, transferred, retained, secured, and otherwise handled when users access or interact with the AgoraFord platform, the LexProbe website, partner-enabled deployments, support channels, integrations, or related services.

By accessing or using the platform or related services, users acknowledge that they have read and understood this Privacy Policy and consent to the practices described herein to the extent permitted by applicable law.

2. Nature of the Platform and Services

LexProbe LLC is the original equipment manufacturer, owner, licensor, and developer of the AgoraFord governance, risk, compliance, investigations, audit, reporting, workflow, and enterprise management platform. AgoraFord may be distributed, licensed, configured, hosted, implemented, marketed, supported, or resold through independent distributors, implementation partners, resellers, consultants, affiliates, or third-party providers operating across multiple jurisdictions.

LexProbe does not own, manage, supervise, or control the independent business operations of resellers, implementation partners, customers, or third parties and expressly disclaims liability for their conduct, legal compliance obligations, operational decisions, privacy practices, security controls, representations, omissions, or contractual commitments.

Where customers, resellers, or third parties upload, manage, store, process, or transmit data through the platform, such parties remain solely responsible for determining the legality, purpose, scope, accuracy, integrity, and appropriateness of such processing activities.

3. Information Collection and Processing

LexProbe may collect and process information including user account information, names, contact details, organization information, authentication credentials, technical identifiers, audit logs, support communications, browser information, network information, platform interaction records, security logs, analytics information, customer-uploaded content, operational metadata, and information reasonably necessary for platform administration, security monitoring, compliance, diagnostics, operational continuity, or service improvement.

Information may be collected directly from users, automatically through system interactions, through integrations, through reseller implementations, or through enterprise customer environments.

Users acknowledge that certain information processing activities may be necessary for the operation, maintenance, integrity, security, supportability, improvement, monitoring, or lawful administration of the platform and related services.

4. Customer and Enterprise Data

Where AgoraFord is utilized by enterprise customers, customers remain solely responsible for determining the purpose and means of processing data uploaded to or processed through the platform. LexProbe acts solely as a technology provider, software licensor, infrastructure facilitator, processor, operator, or service provider, depending on the applicable legal framework and contractual arrangement.

LexProbe does not independently review, validate, verify, monitor, audit, supervise, or assume responsibility for the legality, quality, integrity, lawfulness, or appropriateness of customer data, investigations, workflows, reporting activities, governance processes, whistleblower submissions, audit procedures, compliance activities, or operational conduct undertaken by customers or users.

Customers and users remain solely responsible for ensuring compliance with all applicable laws, including privacy, labor, whistleblower protection, surveillance, employment, governance, cybersecurity, regulatory, and data protection laws.

5. Disclosure and International Transfers

Information may be disclosed where reasonably necessary for operational, legal, security, technical, compliance, support, business continuity, financing, restructuring, acquisition, litigation, regulatory, or lawful business purposes.

LexProbe may engage affiliates, subprocessors, infrastructure providers, cloud hosting providers, consultants, auditors, advisers, contractors, analytics vendors, or technical providers operating in multiple jurisdictions.

Users acknowledge and accept that information may be transferred internationally and processed in jurisdictions with different legal standards, protections, or regulatory frameworks.

6. Security and Operational Risk

LexProbe implements commercially reasonable technical, administrative, organizational, and cybersecurity safeguards intended to promote the confidentiality, integrity, availability, and security of systems and information processed through the AgoraFord platform. Such safeguards may include authentication controls, encryption measures, access management controls, infrastructure monitoring, audit logging, segmentation, backup procedures, vulnerability management processes, incident-response procedures, and cybersecurity monitoring activities appropriate to the nature of the services provided and the operational risk environment.

Notwithstanding the foregoing, users expressly acknowledge and agree that no software platform, hosting environment, infrastructure provider, cloud environment, cybersecurity framework, transmission channel, or internet-connected system is entirely secure, uninterrupted, immune from compromise, or free from operational risk. LexProbe does not warrant or guarantee absolute security, uninterrupted availability, continuous operation, complete resiliency, error-free functionality, preservation of data, or immunity from cyber incidents, malicious activity, unauthorized access, infrastructure failure, or events outside LexProbe’s reasonable control.

In the event of a confirmed security incident affecting personal information or customer data, LexProbe shall use commercially reasonable efforts to provide notification in accordance with applicable legal and regulatory obligations to the extent such obligations apply to LexProbe in its capacity as a service provider, processor, operator, or technology provider. Customers acknowledge and agree that they remain solely responsible for determining and complying with their own notification, reporting, regulatory, employment, contractual, governance, or data-subject obligations arising under the laws of the jurisdictions in which they operate.

To the maximum extent permitted by law, LexProbe shall not be liable for any loss, damage, claim, liability, cost, penalty, interruption, corruption, disclosure, delay, reputational harm, operational disruption, regulatory consequence, or business impact arising directly or indirectly from unauthorized access, cyberattacks, ransomware, malware, phishing incidents, denial-of-service attacks, insider threats, customer misuse, reseller conduct, user error, third-party failures, internet outages, cloud provider failures, telecommunications disruptions, force majeure events, software incompatibilities, configuration errors, artificial intelligence outputs, automated scoring outcomes, analytics interpretations, workflow automation activities, or events beyond LexProbe’s reasonable control.

7. Limitation of Liability

To the maximum extent permitted by applicable law, LexProbe disclaims all express, implied, statutory, and non-statutory warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, compatibility, operational continuity, or regulatory suitability.

Under no circumstances shall LexProbe, its affiliates, officers, directors, employees, licensors, contractors, partners, resellers, or representatives be liable for any indirect, incidental, consequential, punitive, exemplary, special, or economic damages, including loss of profits, business interruption, reputational harm, regulatory penalties, loss of goodwill, loss of data, operational disruption, procurement costs, or third-party claims, regardless of the legal theory asserted and irrespective of whether LexProbe was advised of the possibility of such damages.

Any aggregate liability arising from or relating to the platform, services, website, software, reseller ecosystem, or associated activities shall be limited to the amounts actually paid directly to LexProbe during the six (6) months preceding the event giving rise to the claim.

8. Data Retention

LexProbe reserves the right to retain information, logs, metadata, backups, system records, audit trails, transactional records, operational records, and security-related information for periods reasonably necessary for legal, operational, evidentiary, regulatory, cybersecurity, compliance, continuity, backup, dispute resolution, or business purposes.

9. Modifications

LexProbe reserves the unrestricted right to amend, modify, replace, supplement, suspend, or update this Privacy Policy at any time without prior notice. Continued access to or use of the platform or services constitutes acceptance of any revised version.

To the extent applicable under the California Consumer Privacy Act, as amended by the California Privacy Rights Act, LexProbe may collect, process, disclose, retain, transfer, and use categories of personal information reasonably necessary for the operation, administration, support, security, improvement, analytics, authentication, compliance, and lawful operation of the AgoraFord platform and related services. Such categories may include identifiers, professional or employment-related information, commercial information, internet or network activity information, device identifiers, account credentials, support communications, platform usage records, audit logs, security information, and operational metadata.

LexProbe does not knowingly sell personal information for monetary compensation. However, certain analytics, infrastructure, hosting, diagnostic, support, advertising, or technical integrations may constitute “sharing” or processing activities as defined under applicable California privacy laws. California residents may have rights relating to access, correction, deletion, limitation, objection, portability, and disclosure of personal information subject to applicable legal exceptions, operational requirements, verification procedures, security obligations, and lawful business purposes. Requests relating to California privacy rights may be submitted to info@lexprobe.com and may be subject to identity verification and reasonable procedural requirements.

Data Processing Agreement (DPA)

1. Scope

This DPA governs processing conducted by LexProbe on behalf of enterprise customers.

Customers remain controllers/responsible parties.

LexProbe acts solely as a processor/operator/service provider.

2. Customer Responsibility

Customers remain solely and exclusively responsible for ensuring the lawfulness of all processing activities conducted through the platform, including establishing appropriate legal bases for processing, obtaining required consents, issuing notices, managing uploaded data, complying with applicable laws and regulations, and implementing internal governance, operational, cybersecurity, and compliance controls appropriate to their own environments and risk profiles.

3. Security

LexProbe implements commercially reasonable safeguards. However, no security guarantee is provided.

4. Subprocessors

LexProbe may use subprocessors, infrastructure providers, and cloud vendors globally. Customers consent to such usage.

5. Breach Notifications

LexProbe will use commercially reasonable efforts to notify customers of confirmed security incidents affecting customer data.

6. Limitation of Liability

LexProbe’s liability under this DPA shall be limited in accordance with the Terms of Use.

PAIA Manual

LexProbe may process information relating to South African operations, customers, or users.

LexProbe reserves all rights available under PAIA and applicable law regarding refusal, limitation, or conditional disclosure of records.

Accessibility Statement

LexProbe seeks to maintain reasonable website accessibility standards.

However, we do not warrant uninterrupted accessibility compatibility across all devices, browsers, assistive technologies, or jurisdictions.

Users acknowledge that portions of the platform may be customized, configured, hosted, integrated, or administered by customers, resellers, implementation partners, or third-party providers outside LexProbe’s direct operational control and that accessibility functionality may vary depending on customer configurations, infrastructure environments, integrations, devices, browsers, and geographic regions.

Vulnerability Disclosure Policy

Security researchers wishing to report suspected vulnerabilities or security concerns relating to the AgoraFord platform may contact LexProbe at info@lexprobe.com.

Any testing, probing, scanning, disclosure, exploitation, disruption, extraction, or security-related activity conducted without prior written authorization from LexProbe remains strictly prohibited and may result in immediate legal action, injunctive relief, termination of access, referral to law enforcement authorities, or other remedies available under applicable law.

Unauthorized testing, exploitation, disruption, or disclosure is prohibited.

LexProbe reserves all legal rights relating to unauthorized security activity.

Disclaimer

AgoraFord is a governance, risk, compliance, investigations, workflow, analytics, automation, scoring, and reporting enablement platform designed to support enterprise operational processes determined independently by customers and users. The platform may incorporate artificial intelligence functionality, automated workflows, analytics features, algorithmic scoring models, risk indicators, automation logic, prioritization tools, or configurable analytical outputs intended solely to assist operational decision-making processes.

LexProbe does not provide legal advice, regulatory certification, audit opinions, forensic conclusions, compliance guarantees, investigative findings, legal determinations, employment advice, regulatory endorsements, or professional assurance services. Any outputs, alerts, scores, analytics, recommendations, automated actions, workflows, or insights generated by the platform are informational and operational in nature and should not be interpreted as legal conclusions, factual determinations, regulatory findings, compliance certifications, or professional advice.

Customers and users remain solely and exclusively responsible for all governance decisions, investigations, disciplinary actions, whistleblower processes, risk determinations, compliance activities, employment decisions, reporting obligations, operational outcomes, and regulatory actions undertaken through or in connection with the platform. Users are solely responsible for independently reviewing, validating, interpreting, and assessing all platform-generated outputs, analytics, recommendations, automated processes, workflow actions, and risk indicators before relying upon them.

To the maximum extent permitted by law, reliance on the platform and any associated outputs, analytics, automation functionality, or operational processes occurs entirely at the user’s own risk, and LexProbe disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to accuracy, completeness, reliability, operational suitability, legal sufficiency, regulatory compliance, decision-making appropriateness, or fitness for a particular purpose.
